Defended the general partner of Stealth, LP, which developed Town & Country Hospital, against claims of mismanagement and malfeasance brought by certain limited partners. The case settled favorably on a confidential basis.
Huntsman Corporation v. Credit Suisse Securities (USA) LLC, et al.
Represented Plaintiff Huntsman against Credit Suisse and Deutsche Bank in connection with the failure to fund a $15 billion merger between Huntsman and Hexion of Columbus, Ohio. The firm secured a $1.7 billion net settlement package for Huntsman, including $632 million in cash and $1.1 billion of financing through issuances of notes and bonds on favorable terms.
St. James Capital Partners, L.P., et al. v. St. James Capital Corporation, et al.
Represented Defendant general partners in partnership dispute in which Plaintiffs asserted claims of breach of fiduciary duty for fourteen separate transactions. Following an eight-week jury trial, the matter resulted in the jury finding no breach of fiduciary duty on all claims.
Lonestar Inventions, L.P.
We represented Lonestar Inventions, the assignee of a patent that covers a novel capacitor structure on a semiconductor substrate. Our efforts helped Lonestar achieve a favorable Markman ruling from the district court and confidential settlements or licensing agreements with a “who’s who” of the industry, including (among others) Texas Instruments, Toshiba, Broadcom, Marvell, Analog Devices, Sandisk, and AMD.
Greenfield Energy, Inc., et al. v. EOG Resources, Inc., et al.
Involved in handling an international oil and gas contract dispute over a Trinidadian oil and gas field for a Canadian company against a group of Trinidadian companies and a Houston oil and gas major with damages estimated in the hundreds of millions of dollars. Our clients obtained a confidential settlement from all Defendants, including a handful of businesses that are located and operate in Trinidad.
Yvonne Melcher v. Richard L. Kerr and Bill E. Lewis
Represented Defendants, co-trustees of a multi-million dollar trust, in a lawsuit brought by Plaintiff, the primary beneficiary, claiming breach of fiduciary duty, breach of trust, and conversion. After successfully defending against a temporary injunction sought by Plaintiff, the dispute was settled on favorable terms for the Defendants.
